Confidentiality Agreement

Please complete the form below in order to enter into a confidentiality agreement between yourself and Kaha Digital:

This Confidentiality Agreement (“Agreement”) is entered into as of the date of signing by and between:

Kaha Digital (“Service Provider”), a digital services company, and yourself (“Client”), collectively referred to as the “Parties.”

1. Purpose

The Parties wish to disclose certain confidential and proprietary information for the purpose of engaging in digital services, including but not limited to web development, marketing, SEO, and related services (the “Purpose”).

2. Confidential Information

For the purpose of this Agreement, “Confidential Information” includes but is not limited to:

  • Business strategies and marketing plans
  • Trade secrets, customer lists, and pricing information
  • Project details, website code, designs, and technical data
  • Any other information identified as confidential at the time of disclosure

3. Obligations of the Parties

Each Party agrees to:

  • Maintain confidentiality of all disclosed information
  • Use the Confidential Information only for the agreed Purpose
  • Not disclose or share Confidential Information with third parties without written consent
  • Take reasonable measures to protect Confidential Information from unauthorized access

4. Exclusions

Confidential Information does not include information that:

  • Is publicly available through no breach of this Agreement
  • Is received lawfully from a third party without confidentiality obligations
  • Is independently developed without use of the disclosed information

5. Term and Termination

This Agreement shall remain in effect for a period of 5 years from the date of signing.

6. Return or Destruction of Information

Upon termination or upon written request, the receiving Party shall return or destroy all Confidential Information.

7. Governing Law

This Agreement shall be governed by the laws of Australia.

8. Remedies

Unauthorized disclosure may cause irreparable harm. The disclosing Party is entitled to seek legal remedies, including injunctive relief and damages.

9. Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements relating to confidentiality.
